Let Me Run Coach Agreement

I desire to serve as a volunteer Coach for a “Let Me Run” program (“the Program”) to be offered by an authorized Licensee (“the Licensee”) of Let Me Run, Inc (“LMRI”). To that end, I wish to receive training from LMRI. I understand that I will be exposed to confidential information and intellectual property belonging to LMRI and will be exposed to LMRI’s relationship with its Licensee and the individuals participating in the Program. LMRI has invested substantial resources developing these materials and relationships and has a legitimate interest in protecting such materials and relationships and the reputation of its programs. Accordingly, as a condition to my receiving training from LMRI and serving as a Coach, I agree to the following:

1. While serving as a Coach, I will not deliver or teach the Program or any substantially similar program other than as an employee or volunteer of LMRI or an authorized LMRI licensee.
2. Without the express written consent of LMRI, I will not, whether alone or in collaboration with others, create, develop, implement, market or coach a program with goals and structure substantially similar to those of the Program within the two-year period after the end of my active service as a Coach with the Program in any of the following circumstances: (i) In association with the Licensee; (ii) At any other location within 50 miles of the location(s) where I provided services for the Program during the 24 months immediately before the end of my involvement with the Program; and (iii) Within 50 miles of any location where a Let Me Run program is being conducted or is scheduled to be conducted.
3. I understand that all printed Let Me Run materials furnished to me are under copyright and may not be reproduced in any way by me without the written permission of LMRI, except as permitted under the terms of the Agreement between the Licensee and LMRI, or to the extent reasonably necessary for the performance of specific activities pursuant to the lesson plans during my service as a Coach with the Program.
4. I understand that the applicable Let Me Run Coaches Manual (“the Manual”) provided to me for the purpose of coaching the Program does not belong to me but rather is the property of LMRI. Within two weeks after the earlier of the end of the Program season or the end of my service as a Coach, I will return any Manuals to LMRI and will retain no copies. In the event I breach this provision, LMRI may recover liquidated damages from me in the amount of $200, in addition to any other remedies at law or equity.
5. Severability. If any portions of this Agreement are deemed unreasonable or unenforceable by a court of competent jurisdiction, then such portion shall be modified by the court as required to make it enforceable, and if modification is not possible, then such portion shall be considered divisible, it being the intention of the parties that a less restrictive provision be enforced against me if the agreement as written will not be enforced by the court. The invalidity or unenforceability of this Agreement in any respect shall not affect the validity or enforceability of this Agreement in any other respect.
6. Governing Law. This Agreement shall be deemed to be a contract made under, and shall be construed in accordance with, the laws of the State of North Carolina, without regard to its choice of law principles.

Let Me Run 5K Waiver & Release

I agree to participate in the Let Me Run® 5K Event as a runner. I acknowledge that there are inherent risks in participating in the Event and that I am participating at my own risk. The risks include, but are not limited to, those caused by terrain, facilities, temperature, weather, equipment, vehicular traffic, lack of hydration, and actions of other people including, but not limited to, participants, other volunteers, spectators, coaches, event officials, and directors of the 5K Event. While Let Me Run takes all reasonable precautions, we can make no guarantees regarding these and other risks. I realize that liability may arise from negligence or carelessness on the part of the persons or entities being released, from dangerous or defective equipment or property owned, maintained or controlled by them, or because of their possible liability without fault. I hereby assume all of the risks of participating.

Recognizing the risks of the 5K event, and in consideration for allowing participation in the 5K event, I hereby release, discharge and agree to hold harmless, and to indemnify Let Me Run and Let Me Run, Inc., their owners, directors, officers, contributors, sponsors, employees, agents, and assigns against and from any causes of action, claims, demands, damages, costs, loss of services, expenses, compensation, all consequential damages and attorneys’ fees (regardless whether pursuant to the laws of any county, state or country) claimed by, through or on behalf of me related directly or indirectly to the 5k race, and specifically including any and all claims for personal injuries sustained while participating in the 5K event without regard to negligence or negligent conditions.

I hereby authorize Let Me Run, if after a reasonable attempt has been made to reach a parent, guardian or emergency contact to obtain consent, or if sound medical practice decrees that there is not time to make such an attempt, to consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment, and hospital care, to be rendered to me under the general or special supervision and on the advice of any physician or surgeon who may treat me, and consent to any x-ray examination, anesthetic, dental, medical or surgical diagnosis or treatment and hospital care, to be rendered to me by any health care professional who may treat me. I agree to pay for any such treatment and to reimburse Let Me Run for all costs and expenses.

I understand that at Let Me Run events and activities, I may be photographed and/or filmed. I agree to allow my name, voice, photo, video, or likeness relating to my participation with Let Me Run to be used for any legitimate purpose by event holders, sponsors, organizers, and/or assigns, and I waive all copyrights, rights of publicity or privacy and rights to any compensation in perpetuity to which I may otherwise be entitled as a result of the use of my name, voice, photo, video, and/or likeness.

I expressly agree that this consent is intended to be as broad and inclusive a release of liability as permitted by applicable law and that if any portion thereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect. I hereby warrant and represent that I am 18 years old or older; I have carefully read this consent and agree to its terms and conditions, that before signing this agreement I had the chance to ask questions; and I am aware that by signing this consent, I assume all risks and waive and release certain substantial rights that I may have or possess against Let Me Run. To the extent permitted by applicable law, I hereby irrevocably and unconditionally waive trial by jury in any legal action or proceeding related to this agreement.
